The shareholder of Nuon Energy meets at least once every year for the General Shareholders Meeting. In addition, an Extraordinary Shareholders Meeting can be held at the request of the Supervisory Board or Management Board.
The annual shareholders meeting is held each year within six months of the end of the financial year. The agenda for the annual meeting includes the annual report, the adoption of the financial statements and the profit.
The Management Board and the Supervisory Board determine the agenda for the General Shareholders Meeting. Shareholders who jointly represent at least 1% of the issued capital can also contribute agenda items.
All shareholders are entitled to attend the General Shareholders Meeting, to address it and to exercise their right to vote. Every share gives the right to one vote. Unless the law or the Articles of Association provide for a larger majority, all decisions will be taken with an absolute majority of the votes cast. In principle the General Shareholders Meetings of Nuon Energy are not open to the public.
An Extraordinary Shareholders Meeting can, if necessary, be held at the request of the Supervisory Board or Management Board. Shareholders who jointly represent at least 10% of the issued capital can also convene a meeting.
